1. General
1.1 Scope of application
These General Terms and Conditions apply in the version valid at the time of conclusion of the contract to all business relationships between us (l.i.d. – learn.interact.digital., Wurm & Hombach GbR, Zum Schlüchtern 39, 57482 Wenden) and you. Should you use conflicting general terms and conditions, these are hereby expressly rejected.
1.2 Contractual agreement
The languages of the contract are German and English. In the event of questions of interpretation between the different language versions of these General Terms and Conditions, the German version shall be authoritative.
"Clients" are individuals or companies that have entered into a course contract with us.
"Participants" are those persons who take part in the relevant courses.
1.3 Conclusion of contract
The contract is concluded individually through offer and acceptance. Unless otherwise agreed, the usual procedure is that you submit a request to us and we then send you a binding offer, which you can accept within two weeks. The contract is concluded upon acceptance. We do not store the text of the contract separately; instead, the content of the contract is determined individually by the agreement reached.
1.4 Use of the learning platform
No separate registration is required to use the learning platform. After conclusion of the contract, you will receive the relevant access data by email, which will allow you to access the learning platform in accordance with the contractual agreement.
The access data that enables you to access the learning platform must be treated as strictly confidential and must not be disclosed to third parties who are not covered by the contractual agreement. You shall take appropriate and reasonable measures to prevent third parties from gaining knowledge of the access data. Access authorization cannot be transferred to other third parties. We are not liable for any damage caused by the misuse of the access data.
1.5 Subsequent changes to the terms and conditions
We are entitled to subsequently amend and supplement the General Terms and Conditions with regard to existing business relationships if changes in legislation or case law require this or if other circumstances lead to a significant disruption of the contractual equivalence relationship. A subsequent amendment to the terms and conditions shall take effect if you do not object within six weeks of notification of the amendment. At the beginning of the period, we will expressly inform you that your silence will be taken as acceptance of the contract amendment and give you the opportunity to submit an express declaration during the period. If you object within the period, both we and you may terminate the contractual relationship extraordinarily, unless we allow the contractual relationship to continue under the old General Terms and Conditions.
2. Servicedescription
2.1 General
As an educational platform, we offer you a wide range of services, including courses on competence-oriented vocational training and obtaining an international high school diploma. The exact scope of the services we offer can be found on our website and/or in the corresponding offers.
Please note that we are not a supplementary school, nor do we offer state-recognized qualifications, and attending our courses does not contribute to fulfilling compulsory schooling requirements.
2.2 Provision of services
We are entitled to have the contract or parts of the contract fulfilled by third parties.
There is no entitlement to have a course taught by a specific teacher. However, we ensure that the teacher assigned to the course has both the subject-specific and didactic-methodological competence for the course in question.
2.3 Time of performance
We provide the service at the contractually agreed time.
The course periods are based on school vacations and public holidays in the state of North Rhine-Westphalia. No courses take place during school vacations or on public holidays, unless expressly agreed otherwise.
2.4 Leistungsverzögerungen
Leistungsverzögerungen aufgrund höherer Gewalt und aufgrund von außergewöhnlichen und unvorhersehbaren Ereignissen, welche auch durch äußerste Sorgfalt von uns nicht verhindert werden können und welche wir nicht zu vertreten haben (hierzu gehören insbesondere Streiks, behördliche oder gerichtliche Anordnungen z.B. bei Pandemien und Fälle nicht richtiger oder nicht ordnungsgemäßer Selbstbelieferung trotz dahingehenden Deckungsgeschäfts), berechtigten uns dazu, die Leistung um die Dauer des behindernden Ereignisses zu verschieben.
3. Zahlung
3.1 Preise
Sämtliche Preise verstehen sich inklusive Umsatzsteuer.
3.2 Zahlungsverzug
Sie geraten mit der Zahlung in Verzug, wenn die Zahlung nicht innerhalb von zwei Wochen nach Erhalt der Rechnung bei uns eingeht. Bei Zahlungsverzug werden Zinsen in Höhe von 5 Prozentpunkten über dem Basiszinssatz der Europäischen Zentralbank berechnet, bzw. 9 Prozentpunkten über dem Basiszinssatz der Europäischen Zentralbank bei Rechtsgeschäften, an denen ein Verbraucher nicht beteiligt ist. Sollten Sie mit Ihren Zahlungen in Verzug geraten, so behalten wir uns vor, Mahngebühren in Höhe von 2,50 Euro in Rechnung zu stellen. Die Geltendmachung eines darüber hinaus gehenden Schadensersatzes bleibt unbenommen. Ihnen verbleibt die Möglichkeit nachzuweisen, dass uns kein oder ein geringerer Schaden entstanden ist.
3.3 Zurückbehaltungsrecht
Die Geltendmachung eines Zurückbehaltungsrechts steht Ihnen nur für solche Gegenansprüche zu, die fällig sind und auf demselben rechtlichen Verhältnis wie Ihre Verpflichtung beruhen.
4. Widerrufsbelehrung für Verbraucher bei Fernabsatzverträgen

Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen.

Sie können dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist.
Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
Folgen des Widerrufs
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.
Haben Sie verlangt, dass die Dienstleistungen während der Widerrufsfrist beginnen soll, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht.

Ihr Widerrufsrecht erlischt vorzeitig, wenn wir die Dienstleistung vollständig erbracht haben und mit der Ausführung der Dienstleistung erst begonnen haben, nachdem Sie dazu Ihre ausdrückliche Zustimmung gegeben haben und Sie gleichzeitig Ihre Kenntnis davon bestätigt haben, dass Sie Ihr Widerrufsrecht bei vollständiger Vertragserfüllung durch uns verlieren.
Nichtbestehen eines Widerrufsrechts
Bitte beachten Sie, dass bei Verträgen zur Erbringung von Dienstleistungen im Zusammenhang mit Freizeitbetätigungen kein Widerrufsrecht besteht, wenn der Vertrag für die Erbringung einen spezifischen Termin oder Zeitraum vorsieht (§ 312g Abs. 2 Nr. 9 BGB).
5. Your responsibility
5.1 General
You are solely responsible for the content and accuracy of the data and information you transmit. You also undertake not to transmit any data whose content infringes the rights of third parties or violates existing laws. By transmitting data to us, you confirm that you have complied with copyright regulations.
5.2 Indemnification
You indemnify us against all claims asserted against us by third parties due to such violations. This also includes the reimbursement of costs for necessary legal representation.
5.3 Data backup
You are jointly responsible for backing up the information you send. We cannot be held responsible for the loss of information you send, as we do not provide a general data backup guarantee.
5.4 Obligation to cooperate
Clients and participants are obliged to provide the cooperation necessary for the contract so that we can perform the contractual service. Particularly in the context of self-employment, you as a participant must ensure that you internalize the content taught in order to achieve the desired learning success. As a client, you must ensure, where applicable, that the participants you have registered for the course internalize the content taught in order to achieve the desired learning success. We merely provide you with our content and knowledge, but do not owe you any specific success, such as the successful completion of a course.
5.5 IT infrastructure
You are responsible for setting up and maintaining the IT infrastructure required for your course. In particular, you must ensure that you have functional internet access.
5.6 Non-attendance or illness
If a participant is unable to attend a session (e.g. due to illness or scheduling conflicts), the fee already incurred cannot be refunded to the client. Different arrangements may be made in consultation with us. This does not affect the right of withdrawal.
5.7 Minors
Minors require the permission of their legal representative to participate in our services.
5.8 Behavior
Recording or making audio recordings during the courses is not permitted and may result in exclusion from the sessions. The consumption of drugs or alcohol is also not permitted. If we notice that a participant is showing signs of impairment or similar, we may exclude them from further participation in our courses or individual services. We also reserve the right to exclude participants who endanger the well-being of other people and us (e.g., through aggressive behavior). Fees already paid cannot be refunded in the cases mentioned.
5.9 Proof of identity
We reserve the right to verify the identity of participants when they register for courses and when they take exams. To this end, participants must provide valid proof of identity with a photo (e.g., identity card, passport, driver's license, or similar).
In order to verify your identity, we ask participants to hold their ID clearly in front of their webcam when requested to do so by the course instructor. No images will be taken and no data contained in the document will be stored; we will simply note that the participant's identity has been verified.
5.10 Transfer of personal data
As a client, you must ensure that the participants you have registered for the courses have given their consent to the transfer of the relevant personal data to us, insofar as this is necessary, and that the participants have been informed of their rights in accordance with Art. 15 ff. of the GDPR.
Provided that the respective participant has given their consent, we also inform the client about the progress and achievements made in the course.
6. License Terms for Courses
6.1 Copyright
The content and structure of the courses we organize and the related documents, including all authorized copies, are our intellectual property.
6.2 Granting of license
Upon payment of the participation fee, we transfer to you all rights of use to documents to the extent agreed in the contract and necessary for the respective training course. In case of doubt, we fulfill this obligation by granting non-exclusive rights of use in the territory of the Federal Republic of Germany for the duration of the service. The license expires at the end of the contract. However, the right of use for copies provided to you for your own use continues beyond the end of the contract.
6.3 License terms
Any use beyond this requires our consent. In particular, the materials may not be passed on to third parties (sublicensing or distribution), nor may they be copied, reproduced, or stored on data carriers or other media. Likewise, it is prohibited to use the content, texts, and exercises for your own purposes in seminars, courses, or otherwise in relation to third parties without our express written consent.
6.4 Right of reference
We reserve the right to refer to the services we offer. Unless otherwise agreed, we reserve the right to take photographs during the courses and to use them as references in brochures, leaflets, and on our website. Clients and participants have the right to object to this.
6.5 Damages
We reserve the right to claim damages for any breach of the contractual license terms, in particular in the event of copyright infringement.
7. Abusive posts
We will deactivate or delete abusive content or posts without prior notice. Such content includes, for example, the following cases:
- for sending spam,
- to send and store content that is offensive, obscene, threatening, insulting, or in any other way infringes on the rights of third parties,
- to send and store viruses, worms, Trojan horses, and harmful computer codes, files, scripts, agents, or programs,
- to upload programs that are capable of disrupting, impairing, or preventing operation,
- attempting to gain unauthorized access to our service or to individual modules, systems, or applications, or granting such access to third parties,
- Content that glorifies violence, is pornographic, or is otherwise offensive or illegal.
In the event of repeated violations, we reserve the right to exclude the respective participant from further participation in training courses. In this case, payments already made cannot be refunded. The right to extraordinary termination remains unaffected by this.
8. Fixed-term contracts
8.1 Term and termination
Our contracts with minimum contract terms automatically end at the end of the respective term. Termination is not necessary. After the contract term has expired, it is no longer possible to use the learning platform and the corresponding content.
8.2 Termination without notice
The right to terminate without notice for good cause remains unaffected. Good cause shall be deemed to exist in particular if
- You provided incorrect or incomplete information when concluding the contract,
- You repeatedly violate other contractual obligations and do not cease the breach of duty even after we have requested you to do so.
9. Usability of the services
9.1 Further development of the service / availability
We endeavor to adapt our services to current technical developments. We therefore reserve the right to make changes to the agreed services, provided that such changes do not impair the core services and are reasonable for the contractual partner, taking into account their interests. We are also entitled to interrupt the operation of the website in whole or in part for the purposes of updating and maintenance within reasonable limits. In this respect, we do not guarantee the availability of the services offered at all times and do not guarantee that the services offered or parts thereof will be made available and can be used from any location. Your warranty rights remain unaffected by this.
You are not entitled to any further development of our platform, unless this involves necessary updates that are required for proper functionality.
9.2 Zumutbare Betriebsunterbrechungen
Wir übernehmen keine Haftung für zumutbare Betriebsunterbrechungen, die zur Behebung von Störungen, zu Wartungsarbeiten, zur Einführung neuer Technologien oder ähnlichen Zwecken notwendig sind
9.3 Technische Voraussetzungen
Die Nutzung der Website setzt entsprechende kompatible Geräte voraus (z.B. Zugangsmöglichkeit und störungsfreier Betrieb des Dienstes „Zoom“). Es obliegt Ihnen das Gerät in einen Zustand zu versetzen oder zu halten, welche die Nutzung der Website-Dienste ermöglicht.
10. Gewährleistung
Es gelten die gesetzlichen Gewährleistungsrechte.
11. Haftung
11.1 Haftungsausschluss
Wir sowie unsere gesetzlichen Vertreter und Erfüllungsgehilfen haften nur für Vorsatz oder grobe Fahrlässigkeit. Soweit wesentliche Vertragspflichten (folglich solche Pflichten, deren Einhaltung für die Erreichung des Vertragszwecks von besonderer Bedeutung sind) betroffen sind, wird auch für leichte Fahrlässigkeit gehaftet. Dabei beschränkt sich die Haftung auf den vorhersehbaren, vertragstypischen Schaden. Gegenüber Unternehmern haften wir im Falle eines grob fahrlässigen Verstoßes gegen nicht wesentliche Vertragspflichten nur in Höhe des vorhersehbaren, vertragstypischen Schadens.
11.2 Haftungsvorbehalt
Der vorstehende Haftungsausschluss betrifft nicht die Haftung für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit. Auch die Vorschriften des Produkthaftungsgesetzes bleiben von diesem Haftungsausschluss unberührt.
11.3 Datensicherung
Wir führen im Rahmen der Leistungserbringung effektive Datensicherungen durch, übernehmen jedoch keine allgemeine Datensicherungsgarantie für die von Ihnen übermittelten Daten. Sie sind auch selbst dafür verantwortlich in regelmäßigen Abständen angemessene Backups Ihrer Daten zu erstellen und so einem Datenverlust vorzubeugen. Wir lassen bei der Erbringung der vereinbarten Dienstleistung die angemessene Sorgfalt walten und werden die Datensicherung mit der erforderlichen Fachkenntnis erbringen. Wir sichern jedoch nicht zu, dass die gespeicherten Inhalte oder Daten, auf die Sie zugreifen, nicht versehentlich beschädigt oder verfälscht werden, verloren gehen oder teilweise entfernt werden.
11.4 Haftung für Inhalte
Sie sind allein für den Inhalt Ihrer Beiträge bzw. Ihres Profils verantwortlich. Diese dürfen mit den Inhalten weder gegen geltende Gesetze, noch diese Allgemeine Geschäftsbedingungen verstoßen. Sie verpflichten sich zudem, keine Daten zu übermitteln, deren Inhalte Rechte Dritter (z.B. Persönlichkeitsrechte, Namensrechte, Markenrechte, Urheberrechte etc.) verletzen. Insbesondere dürfen Beiträge bzw. Profile mit strafbaren Inhalten nicht veröffentlicht oder unwahre Tatsachen behauptet werden. Wir haften als Betreiber der Internetseite nicht für inkorrekte Angaben der Nutzer in deren Beiträgen bzw. Profilen. Eine Überprüfung der auf unserer Seite durch die Kunden eingestellten Inhalte (insbesondere bzgl. der Verletzung von Rechten Dritter) findet nicht statt. Sollten wir jedoch von fehlerhaften, unzutreffenden, irreführenden oder rechtswidrigen Angaben Kenntnis erlangen, werden wir diese umgehend überprüfen und ggf. entfernen. Wir übernehmen zudem keine Gewähr für die Richtigkeit, Aktualität, Vollständigkeit, Qualität oder Rechtmäßigkeit der nicht von uns stammenden Inhalte. 12. Schlussbestimmungen
12.1 Gerichtsstand
Als ausschließlicher Gerichtsstand für alle Rechtsstreitigkeiten aus diesem Vertrag wird unser Geschäftssitz vereinbart, sofern Sie Kaufmann, eine juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen sind.
12.2 Rechtswahl
Soweit nicht zwingende gesetzliche Bestimmungen nach Ihrem Heimatrecht entgegenstehen, gilt deutsches Recht unter Ausschluss des UN-Kaufrechts als vereinbart.
12.3 Verbraucher-Streitbeilegungsverfahren
Die EU-Kommission hat eine Internetplattform zur Online-Beilegung von Streitigkeiten betreffend vertraglicher Verpflichtungen aus Online-Verträgen geschaffen (OS-Plattform). Sie können die OS-Plattform unter dem folgenden Link erreichen: http://ec.europa.eu/consumers/odr/. Wir sind nicht bereit und nicht verpflichtet an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.
12.4 Salvatorische Klausel
Die Unwirksamkeit einzelner Bestimmungen berührt die Gültigkeit der übrigen Allgemeinen Geschäftsbedingungen nicht.

Unless otherwise agreed, the usual procedure is that you send us an inquiry and then receive a binding offer from us, which you can then accept within two weeks. The contract is concluded upon acceptance. Separate storage of the contract text by us does not take place, but the contract content results in each case individually from the agreement made.

1.5 Subsequent amendment of the Terms and Conditions
We are entitled to subsequently amend and supplement the General Terms and Conditions in relation to existing business relationships if changes in legislation or case law make this necessary or if other circumstances lead to the contractual equivalence relationship being disturbed to a more than insignificant extent. A subsequent amendment to the Terms and Conditions shall become effective if you do not object within six weeks of notification of the amendment. At the beginning of the period, we will expressly draw your attention to the effect of your silence as acceptance of the contract amendment and give you the opportunity to make an express declaration during the period. If you object within the deadline, both you and we may terminate the contractual relationship without notice unless we allow the contractual relationship to continue under the old General Terms and Conditions.

2.4 Performance delays
Delays in performance due to force majeure and due to extraordinary and unforeseeable events that cannot be prevented by us even with the utmost care and for which we are not responsible (these include, in particular, strikes, official or court orders, e.g., in the event of pandemics and cases of incorrect or improper self-supply despite a covering transaction to that effect) shall entitle us to postpone performance for the duration of the impending event.
3Payment
3.1 Prices
All prices include value-added tax.
3.2 Default of payment
You shall be in default of payment if payment is not received by us within two weeks of receipt of the invoice. In the event of late payment, interest shall be charged at a rate of 5 percentage points above the prime rate of the European Central Bank or 9 percentage points above the prime rate of the European Central Bank in the case of legal transactions in which a consumer is not involved. Should you fall into arrears with your payments, we reserve the right to charge a reminder fee of 2.50 euros. We reserve the right to claim further damages. You have the option of proving that we have incurred no or less damage.
3.3 Right of retention
You are only entitled to assert a right of retention for counterclaims that are due and based on the same legal relationship as your obligation.
4. Withdrawal policy for consumers for distance selling contracts

The withdrawal period is fourteen days from the date of the conclusion of the contract. You can use the attached sample withdrawal form, which is not mandatory.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Consequences of withdrawal
If you withdraw from this contract, we shall reimburse you all payments received from you, including the costs of delivery (except for the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. For this repayment, we will use the same means of payment that you used for the original transaction unless expressly agreed otherwise with you; in no case will you be charged any fees for this repayment.
If you have requested that the services commence during the withdrawal period, you must pay us a reasonable amount corresponding to the proportion of the services already provided up to the time at which you inform us of the exercise of the right of withdrawal with regard to this contract compared to the total scope of the services provided for in the contract.

Special information on the premature expiry of the right of withdrawal
Your right of withdrawal expires prematurely if we have provided the service in full and have only begun to perform the service after you have given your express consent and you have simultaneously confirmed your knowledge that you will lose your right of withdrawal upon complete fulfillment of the contract by us.
Non-existence of a right of withdrawal
Please note that there is no right of withdrawal for contracts for the provision of services in connection with leisure activities if the contract provides for a specific date or period for the provision of services (Section 312g (2) No. 9 German Civil Code (BGB)).
5 Your responsibility
5.1 General
You aresolelyresponsible for the content and accuracy of the data and information you transmit. You also undertake not to transmit any data whose content infringes the rights of third parties or violates existing laws. By transmitting data to us, you confirm that you have complied with the copyright regulations.
5.2 Indemnification
You shall indemnify us against all claims asserted against us by third parties due to such infringements. This also includes the reimbursement of the costs of necessary legal representation.
5.3 Data backup
You are jointly responsible for backing up the information sent to us. We cannot be held responsible for the loss of your transmitted information, as we do not provide a general data backup guarantee.
5.4 Duty to cooperate
Clients and participants are obliged to provide the cooperation required for the contract so that we can perform the contractual service. Particularly in the context of independence, you as a participant must ensure that you internalize the content provided in order to achieve the desired learning success. As a client, you are responsible for ensuring that the participants you have registered for the course internalize the content provided in order to achieve the desired learning success. We merely provide you with our content and our knowledge, but do not owe you any specific success, such as the successful completion of a course.
5.5 IT infrastructure
. You are responsible for setting up and maintaining the IT infrastructure relating to your course. In particular, you must ensure that you have a functioning Internet connection.
5.6 Non-attendance or illness
If a participant is unable to attend a session (e.g., due to illness or overlapping dates), the client cannot be refunded the fee already paid. Other arrangements can be made in consultation with us. This does not affect the right of withdrawal.
5.7 Minors
, minors require the permission of their legal guardian to participate in our services.
5.8 Behavior
Recording or taping during the courses is not permitted and may lead to exclusion from the units. The consumption of drugs or alcohol is also not permitted. Should we recognize that a participant is showing signs of impairment or similar, we may exclude them from further participation in our courses or individual services. We also reserve the right to exclude participants who endanger the well-being of other people and us (e.g., through aggressive behavior). Fees already paid cannot be refunded in the aforementioned cases.
5.9 Proof of identity
. We reserve the right to check the identity of participants when they register for courses and take examinations. For this purpose, the respective participant requires valid proof of identity with a photo (e.g., identity card, passport, driver's license, or similar).
To carry out the verification, we would like to ask the participants to hold the proof of identity legibly in front of the webcam when requested to do so by the course management. No pictures will be taken, nor will any other data contained in the document be saved, but it will simply be noted that the participant's identity has been verified.
5.10 Transmission of personal data
As a client, you must ensure that the participants you have registered for the courses have given their consent to the transfer of the relevant personal data to us, insofar as this is necessary, and that the participants are informed of their rights in accordance with Art. 15 et seq. of the GDPR.
If the respective participant has given their consent, we will also inform the client about the progress and performance achieved in the course.
6 License conditions for courses
6.1 Copyright
The content and structure of the courses we organized and the related documents, including all authorized copies, are our intellectual property.
6.2 Granting of license
Upon payment of the participation fee, we shall transfer all rights of use to documents required for you to the extent agreed in the contract and required for the respective training course. In case of doubt, we fulfill this obligation by granting non-exclusive rights of use in the territory of the Federal Republic of Germany for the duration of the service. The granting of the license expires at the end of the contract. However, with regard to the copies provided to you for your own use, the right of use shall continue to exist beyond the end of the contract.
6.3 License conditions
Any further use requires our consent. In particular, the materials may not be passed on to third parties (sublicensing or distribution), nor may they be copied, reproduced or stored on data carriers or other media. It is also prohibited to use the content, texts and exercises for your own purposes in seminars, courses or otherwise vis-à-vis third parties without express written permission.
6.4 Right of reference
We grant ourselves the right to reference the services we offer. Unless otherwise agreed, we reserve the right to take photographs during the courses and to list these as references in brochures, leaflets, and on our website. Clients and participants have the right to object to this.
6.5 Damages
We reserve the right to claim damages for any breach of the contractual license conditions, in particular in the event of copyright infringement.
7. Abusive posts
Abusive content or posts will be deactivated or deleted by us without prior notice. Such content is given, for example, in the following cases:
- for sending spam,
- to send and store infringing, obscene, threatening, insulting, or otherwise violating third-party rights content,
- for sending and storing viruses, worms, Trojans, and malicious computer codes, files, scripts, agents, or programs,
- for uploading programs that are likely to disrupt, impair, or prevent operation,
- with the attempt to gain unauthorized access to our service or to individual modules, systems, or applications or to grant such access to third parties,
- content that glorifies violence, pornographic or otherwise offensive or punishable content.
8. Fixed-term contracts
8.1 Term and termination
. Our contracts with minimum contract terms end automatically at the end of the respective term. Cancellation is not necessary. Once the contract term has expired, it is no longer possible to use the learning platform or the corresponding content.
. 8.2 Termination without notice
. The right to terminate without notice for good cause remains unaffected. Good cause shall be deemed to exist in particular if
- you provided incorrect or incomplete information when concluding the contract,
- you repeatedly violate other contractual obligations and do not refrain from doing so even after being requested to do so by us.
9. Usability of theservices
9.1 Further development of the service/availability
We endeavor to adapt our services to current technical developments. We therefore reserve the right to make changes to the agreed services insofar as such changes do not impair the core services and are reasonable for the contractual partner, taking into account their interests. We are also entitled to interrupt website operation partially or completely within reasonable limits for the purposes of updating and maintenance. In this respect, we do not guarantee the availability of the services offered at all times and do not guarantee that the services provided or parts thereof can be made available and used from any location. This does not affect your warranty rights.
You are not entitled to any further development of our platform unless this involves necessary updates that are required for proper functionality.
9.2 Reasonable business interruptions
We accept no liability for reasonable interruptions to the operations necessary to rectify faults, for maintenance work, to introduce new technologies or for similar purposes.
9.3 Technical requirements
The use of the website requires corresponding compatible devices (e.g., accessibility and trouble-free operation of the "Zoom" service). It is your responsibility to set up or maintain the device in a condition that enables the use of the website services.
10. Warranty
The statutorywarranty rights apply.
11. Liability
11.1 Exclusion of liability
We and our legal representatives and vicarious agents shall only be liable for intent or gross negligence. Insofar as essential contractual obligations (i.e., obligations whose fulfillment is of particular importance for achieving the purpose of the contract) are affected, liability shall also be assumed for slight negligence. Liability shall be limited to the foreseeable damage typical of the contract. In the event of a grossly negligent breach of non-essential contractual obligations, we shall only be liable to entrepreneurs in the amount of the foreseeable damage typical for the contract.
11.2 Reservation of liability
The above exclusion of liability does not apply to liability for damages resulting from injury to life, limb or health. The provisions of the German Product Liability Act also remain unaffected by this exclusion of liability.
11.3 Data backup
We carry out effective data backups as part of the provision of services but do not provide a general data backup guarantee for the data you transmit. You are also responsible for creating appropriate backups of your data at regular intervals to prevent data loss. We will exercise reasonable care in providing the agreed service and will perform the data backup with the necessary expertise. However, we do not guarantee that the stored content or data you access will not be accidentally damaged or falsified, lost or partially removed.
11.4 Liability for content
You are solely responsible for the content of your contributions or your profile. Your content may not violate applicable laws or these General Terms and Conditions. You also undertake not to transmit any data whose content violates the rights of third parties (e.g., personal rights, rights to a name, trademark rights, copyrights, etc.). In particular, contributions or profiles with criminal content may not be published, or untrue facts may not be claimed. As the operator of the website, we are not liable for incorrect information provided by users in their posts or profiles. We do not check the content posted on our website by customers (in particular, with regard to the infringement of third-party rights). However, should we become aware of incorrect, inaccurate, misleading, or illegal information, we will check this immediately and remove it if necessary. We also accept no liability for the accuracy, up-to-dateness, completeness, quality, or legality of content that does not originate from us. We merely make our platform available to you.
12. Final provisions
12.1 Place of jurisdiction
Our registered office is agreed as the exclusive place of jurisdiction for all legal disputes arising from this contract, provided that you are a merchant, a legal entity under public law or a special fund under public law.
12.2 Choice of law
Insofar as there are no mandatory statutory provisions to the contrary under your home law, German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
12.3 Consumer dispute resolution procedure
The EU Commission has created an internet platform for the online settlement of disputes concerning contractual obligations arising from online contracts (ODR platform). You can access the ODR platform via the following link: http://ec.europa.eu/consumers/odr/. We are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board.
12.4 Severability clause
The invalidity of individual provisions shall not affect the validity of the remaining General Terms and Conditions.
